Definitions 35 | 36 | The following capitalized terms have the meanings set forth below: 37 | 38 | **“Affiliates”** means any corporation or entity that You or PARROT directly or 39 | indirectly controls, is under common control with, or is controlled by, where 40 | “control” means the ownership of more than fifty percent (50%) of the voting 41 | equity in such entity or otherwise the ability to direct the management of such 42 | entity. 43 | 44 | **“Application"** means any code, algorithm or application developed by You 45 | using the SDK that is operable on, or interfaces to, the adequate 46 | PARROT Platform. 47 | 48 | **“PARROT”** means Parrot Drones SAS, a French corporation, located at 174 Quai 49 | de Jemmapes, 75010, Paris (France), acting on its behalf and on behalf of its 50 | Affiliates (individually and collectively, “Parrot”). 51 | 52 | **“PARROT Platforms** means any PARROT hardware, software, and services, such 53 | as 54 | unmanned aerial vehicles, flight controllers, sensors, cameras, gimbals, remote 55 | controllers, accessories, etc. 56 | 57 | **“Party” or “Parties”** means You and/or PARROT. 58 | 59 | **“SDK”** or “Software Development Kit” means software (source code and object 60 | code), applications, tools, sample code, templates, fonts, logos, icons, 61 | images, libraries, interfaces, updates, documentation,application programming 62 | interfaces (APIs), information, data, files, and other materials, whether 63 | tangible or intangible, in whatever form or medium provided to You by PARROT 64 | for use by You in connection with Your Application. It is composed of : 65 | * OpenFlight : open-source core of PARROT FreeFlight 7 application. 66 | * Ground SDK : Ground Control Station (GCS) framework for mobile devices. 67 | * Air SDK : framework to load and run code directly on PARROT Platforms. 68 | * Ground SDK Tools : desktop tools including an advanced video viewer (PDrAW) 69 | and embedded photo and video metadata tools for PARROT Platforms. 70 | * Olympe : Python framework for PARROT Platforms. 71 | * Sphinx : drone simulation tool for PARROT Platforms. 72 | * Altogether **“SDK Components”**. 73 | 74 | **“Third-Party Component”** means software, interfaces and firmware belonging to 75 | a third-party for incorporation into the SDK and distributed as an 76 | integral part of the SDK, as applicable. 77 | 78 | **“Use”** or **“Using”** means to download, install, activate, access or 79 | otherwise use the SDK. 80 | 81 | **“You”** and **“Your”** means the individual or legal entity licensing the SDK 82 | under this EULA. 83 | 84 | ## 2. License 85 | 86 | 2.1 The SDK is licensed, not sold, to You by PARROT. PARROT retains all 236 | right, title, and interest in and to all copies of the SDK at all times, 237 | regardless of the form or media in or on which the original or other copies may 238 | subsequently exist. 239 | 240 | All content accessed through the SDK is the property of the applicable content 241 | owner and may be protected by applicable copyright law. This EULA gives You no 242 | rights to such content. 243 | 244 | ## 6. No confidentiality on Your disclosure 245 | 246 | PARROT works with many application developers and some of their products may be 247 | similar to or compete with Your Application. PARROT may also be 248 | developing its own similar or competing applications or may decide to do so in 249 | the future. To avoid potential misunderstandings, PARROT CANNOT AGREE, AND 250 | EXPRESSLY DISCLAIMS, ANY CONFIDENTIALITY OBLIGATIONS OR USE RESTRICTIONS, 251 | EXPRESS OR IMPLIED, WITH RESPECT TO ANY OF YOUR DISCLOSURE. No support or maintenance obligation 260 | 261 | This EULA does not entitle You to receive from PARROT or its licensors 262 | hard-copy documentation, support, telephone assistance, enhancements or updates 263 | to the SDK. You undertake to comply with all applicable international laws 317 | governing Use, export, re-export and transfer of products and technology, in 318 | particular, the SDK, as well as end-user, end-use and destinations restrictions 319 | issued by governments, as the case may be. 320 | 321 | Without derogating from the generality of the foregoing, You represent that You 322 | are not a member of any denied person list, debarred list or any other similar 323 | lists published by any government where You intend to use the SDK and that You 324 | will not Use, export, re-export or transfer the SDK to territories, 325 | destinations, companies, or individuals in violation of U.S. or E.U. embargoes 326 | or trade sanctions. Governing law and disputes resolutions 339 | 340 | The validity, interpretation, and performance of the EULA shall be controlled 341 | by and construed under the laws of France, without regards to its conflicts of 342 | law. The Paris Courts shall have exclusive jurisdiction over any claim arising 343 | under this EULA. 344 | 345 | Notwithstanding the foregoing, either Party shall at all times have the right 346 | to commence proceedings in any other court of its choice for interim injunctive 347 | relief as provided for in Section 12 of this EULA. 348 | 349 | ## 16. Miscellaneous 350 | 351 | **Entire agreement.** This EULA, together with any amendments and any 352 | additional agreements You may enter into with PARROT in connection with the use 353 | of SDK, shall constitute the entire agreement between the Parties concerning 354 | the subject matter hereof. 355 | 356 | **Amendment.** No amendment or modification of this EULA is binding unless it 357 | is in a writing that explicitly references this EULA and is signed by an 358 | authorized executive of PARROT. 359 | 360 | **Severability.** If any provision of this EULA is held to be invalid, illegal 361 | or unenforceable, the remaining provisions of this EULA remain in full force 362 | and effect, so long as the essential terms and conditions of this EULA reflect 363 | the original intent of the Parties and remain valid, legal, and enforceable, or 364 | PARROT may at its option terminate this EULA. 365 | 366 | **Language.** The controlling language of this EULA is English. Communications 367 | under or in connection with this EULA shall be in the English language.
